You are granted a limited, non-sublicensable license to access and use the Servicesand Proprietary Materials, subject to these Terms. You agree that you will not:

i)copy, modify, publish, adapt, sublicense, translate, sell, distribute,transmit, perform, display, reverse engineer, decipher, decompile or otherwise disassembleany portion of the Proprietary Materials or the Services or cause others to doso;

ii)' frame ' or ' mirror ' any part of the Services or theProprietary Materials, without our prior written authorization;

iii)use meta tags or code or other devices containing any reference to FarmersD or the Servicesin order to direct any person to any other site for any purpose;

iv)resell or make any commercial use of the Services or Proprietary Materials;

v)use any data mining, robots, spiders or similar data gathering or extractionmethods or otherwise collect any pictures, descriptions, data or other contentfrom the Services or Proprietary Materials;

vi)forge headers or otherwise manipulate identifiers in order to disguise theorigin of any information transmitted through the Services;

vii)use any automated methods or processes to create FarmersD Accounts or access the Servicesor Proprietary Materials; or

viii)use the Proprietary Materials or the Services other than for their intendedpurpose. Any use of the Services or Proprietary Materials other than asexpressly authorized herein, without the prior written consent of FarmersD, isstrictly prohibited and will violate and terminate the license granted herein.Such unauthorized use may also violate applicable Canadian or internationallaws, including without limitation copyright and trade-mark laws and applicablecommunications regulations and statutes. Unless explicitly stated herein,nothing in these Terms shall be construed as conferring any license tointellectual property rights, whether by estoppel, implication or otherwise.FarmersD reserves all rights not expressly granted herein in the Services and theProprietary Materials. This license is revocable at any time.

12. Trade-marks

' FarmersD ', FarmersD's logos and any othertrade names or slogans contained in the Services are trade-marks or servicemarks of FarmersD, its partners or its licensors and may not be copied, imitated orused, in whole or in part, without the prior written permission of FarmersD or theapplicable trade mark holder. In addition, the look and feel of the Services,including all page headers, custom graphics, button icons and scripts, is theservice mark, trade mark and/or trade dress of FarmersD and may not be copied,imitated or used, in whole or in part, without our prior written permission.All other trade-marks, registered trade-marks, product names and company namesor logos mentioned in the Services are the property of their respective owners.Reference to any products, services, processes or other information, by tradename, trade-mark, manufacturer, supplier or otherwise does not constitute orimply endorsement, sponsorship or recommendation thereof by us.

13. Third Party Content

FarmersD may provide third party content on the Services andmay provide links to web pages, applications, mobile apps, sites and content ofthird parties (collectively the ' Third Party Content ') as a serviceto those interested in this information. FarmersD does not control, endorse oradopt any Third Party Content and expressly disclaims any and allrepresentations, warranties or conditions of any kind regarding the Third PartyContent, including without limitation regarding its accuracy or completeness.You acknowledge and agree that FarmersD is not responsible or liable in any mannerfor any Third Party Content and FarmersD undertakes no responsibility to update orreview any Third Party Content. Users use such Third Party Content containedtherein at their own risk.

14. Links to Third Party Sites or Resources

The Services may include links to other apps or sitesthat are not operated by us, including through advertisements. We are providingthese links to you only as a convenience and are not responsible for thecontent or links displayed on such apps or sites. If you decide to download athird-party app or access a third-party site, even if you do so to earn freeFarmersD Coins (as defined in Section 16), you assume all risk related to suchaccess and use. Additionally, you acknowledge and agree that any personalinformation collected, used, processed and disclosed through your use of suchapps or sites shall be governed by the privacy policy and practices of suchapp/site owners, not by FarmersD under its PrivacyPolicy orotherwise.

15. Advertising

FarmersD and its licensees may publicly displayadvertisements and other information adjacent to your User Content. You are notentitled to any compensation for such advertisements. The manner, mode andextent of such advertising are subject to change without specific notice toyou.

16. End User Licenses

a)License Grant. Subject to these Terms, FarmersD hereby grants you anon-exclusive, non-transferable, revocable license to use a compiled code copyof the Services for one (1) FarmersD Account for your personal, noncommercial use.FarmersD does not represent or warrant that the Services will be compatible withyour web browser and/or mobile device at any time.

d)Rights Reserved. The foregoing license granted under these Terms is not asale of the Services or any copy thereof and FarmersD or its third party partnersor suppliers retain all rights, title, and interest in the Services (and anycopy thereof). Any attempt by you to transfer any of the rights, duties orobligations hereunder, except as expressly provided for in these Terms, isvoid. FarmersD reserves all rights not expressly granted under these Terms.

e)App Stores. You acknowledge and agree that the availability of the Servicesis dependent on the third parties from which you received the Services, e.g.,Google Play or the Apple app store (collectively ' App Stores '). Youacknowledge that these Terms are between you and FarmersD and not with the AppStores and that each App Store may have its own terms and conditions to whichyou must agree before downloading the Services from it. You agree to complywith, and your license to use the Services is conditioned upon your compliancewith, all applicable terms and conditions of the particular App Store.

17. Paid Services

a)General. FarmersD makes available several paid Services. Firstly, you maypurchase virtual currency (' FarmersD Coins ') for use with the Servicesfor the amounts described on the FarmersD Software. You may also from time to time,obtain FarmersD Coins or other virtual items by engaging in certain actions (forexample, by downloading third party apps). FarmersD Coins and such other virtualitems are referred to collectively as ' Virtual Goods '. Secondly,you may purchase subscriber-level access that unlocks premium features andenhancements of the Services (a ' Subscription ') for the amountsdescribed on the FarmersD Software. (We may add the second paid service later whenwe think the time is appropriate.)
FarmersD does not receive or process payments or credit card information directly.You may purchase Paid Services through an App Store such as Google Play accountand/or Apple iTunes account (a ' Third Party Account '). If youpurchase any Services that we offer for a fee (the ' Subscription Fees'), including without limitation Virtual Goods, FarmersD Coins, and/or aSubscription to the Services (collectively, the ' Paid Services '),you authorize FarmersD to collect currently the iTunes unique transaction IDs andreceipts data. If you purchase any Paid Services through the Third PartyAccount, the Subscription Fees for these Paid Services will appear through yourThird Party Account. Please note that FarmersD does not control Third Party Accountterms and conditions so please review these carefully. You also agree to paythe Subscription Fees for the Paid Services (including without limitationperiodic fees as described on the FarmersD Software as they become due plus allrelated taxes). Any and all payments made to FarmersD for use and access to the Services,including without limitation, any Subscription Fees for the Paid Services, arefinal and all charges are nonrefundable.
Please see our Virtual Goods and Currency Terms of Use for additionalterms applicable to the purchase of Virtual Goods and use of virtual currencyoffered by us. Typically, our virtual currency may be used to purchase certainfeatures or Virtual Goods in connection with the Services. Any virtual currencythat you receive as a promotion from us will be subject to the terms of ourVirtual Goods and Currency Terms of Use . We reserve the right at any time toincrease or change the amounts set forth in the Services for any of the Paid Services.We also reserve the right to charge new fees for access to portions of the Servicesor the Services as a whole at any time upon notice to you by posted suchchanges on the FarmersD Software.

b)AUTOMATIC RENEWAL OF SUBSCRIPTIONS. When you pay for a subscriptionthrough a Third Party Account and you do not cancel your subscription prior tothe end of the subscription term, your subscription for the Services willcontinue indefinitely until cancelled by you. After your initialsubscription period, and again after any subsequent subscription period, yoursubscription will automatically continue for an additionalequivalent period, at the price you agreed to when subscribing. You agree thatyour FarmersD Account will be subject to this automatic renewal feature. Youacknowledge and agree that your Third Party Account will be automaticallycharged for such subscription fees, plus any applicable taxes, upon each suchautomatic renewal. You acknowledge that your subscription is subject toautomatic renewals and you consent to and accept responsibility for allrecurring charges through a Third Party Account based on this automatic renewalfeature without further authorization from you and without further noticeexcept as required by law.

c)CANCELLATION OF SUBSCRIPTIONS. When you purchase a subscription through aThird Party Account, you will need to cancel your subscription through thatthird party, an App Store, not FarmersD and in accordance with that third party'sterms and conditions. If you cancel your subscription your subscriptionbenefits will continue until the end of your then current subscription term,but your subscription will not be renewed after that term expires. 18. Free Trials And Promotions

From time to time, we may offer free trials or otherpromotions (a ' Promotion '). As an example, we may offer Promotionsthat provide a free Subscription to the Services for a certain period of time.You must cancel your subscription (in accordance with Section 17) before theend of the Promotion period in order to avoid being automatically charged forSubscription Fees. As another example, we may provide you with our virtualcurrency without charge. Any such virtual currency is subject to the terms ofour Virtual Goods and Currency Terms of Use. Additional Terms applicable to specificPromotions may be provided on the FarmersD Software.

19. Modification Of These Terms

We reserve the right, in our sole discretion, to change,modify, add, or remove portions of any of the terms and conditions contained inthese Terms including any policy or guideline applicable to the Services at anytime. Unless otherwise specified, any changes or modifications will beeffective immediately upon posting of the revisions on the Services, and yourcontinued use of the Services after such posting will constitute youracceptance of such changes or modifications. You should from time to timereview the Terms and any policies and documents incorporated in them tounderstand the terms and conditions that apply to your use of the Services. TheTerms will always show the ' last updated ' date at the top. If youdo not agree to any amended Terms, you must stop using the Services. 20. DISCLAIMERS

FarmersD PROVIDES THE SERVICES AND THEPROPRIETARY MATERIALS AND THE SERVICES ON AN ' AS IS ' AND ' ASAVAILABLE ' BASIS. TO THE MAXIMUM EXTENTPERMITTED UNDER APPLICABLE LAW, FarmersD EXPRESSLY DISCLAIMS ANY REPRESENTATIONS,WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, ARISING FROMSTATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OF TRADE WITHRESPECT TO THE SERVICES AND THE PROPRIETARY MATERIALS, INCLUDING ANYREPRESENTATIONS, WARRANTIES OR CONDITIONS OF MERCHANTABLE QUALITY, TITLE,ACCURACY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.
FarmersD DOES NOT REPRESENT AND WARRANT THAT(A) YOUR USE OF THE SERVICES OR PROPRIETARY MATERIALS WILL BE SECURE,UNINTERRUPTED, COMPLETE, ALWAYS AVAILABLE, ERROR-FREE OR WILL MEET YOURREQUIREMENTS, (B) ANY DEFECTS IN THE SERVICES OR PROPRIETARY MATERIALS WILL BECORRECTED OR (C) THE SERVICES AND PROPRIETARY MATERIALS ARE FREE OF VIRUSES OROTHER HARMFUL COMPONENTS. FarmersD DISCLAIMS LIABILITY FOR, AND NO WARRANTY IS MADEWITH RESPECT TO, THE CONNECTIVITY AND AVAILABILITY OF THE SERVICES OR THEDELIVERY OF ANY COMMUNICATIONS.
FarmersD HAS NO ANY OBLIGATION TO VERIFY THEIDENTITY OF OR SCREEN THE PERSONS SUBSCRIBING TO OR USING THE SERVICES, NORDOES IT HAVE ANY OBLIGATION TO MONITOR THE USE OF THE SERVICES BY OTHER USERSOF THE COMMUNITY. THEREFORE, FarmersD DISCLAIMS ANY AND ALL LIABILITY FOR YOURINTERACTIONS WITH AND THE CONDUCT OF OTHER USERS AND FOR IDENTITY THEFT OR ANYOTHER MISUSE OF YOUR IDENTITY OR INFORMATION.
FarmersD DOES NOT: (i) GUARANTEE THE ACCURACY,COMPLETENESS OR USEFULNESS OF ANY INFORMATION ON THE SERVICES OR ANY RESULTSFROM YOUR USE OF THE SERVICES; OR (ii) ADOPT, ENDORSE OR ACCEPT RESPONSIBILITYOR LIABILITY FOR THE CONDUCT OF ANY USERS OR FOR THE ACCURACY OR RELIABILITY OFANY OPINION, ADVICE, OR STATEMENT MADE BY ANY PARTY OTHER THAN FarmersD. UNDER NOCIRCUMSTANCES WILL FarmersD BE RESPONSIBLE FOR ANY LOSSES, DAMAGES OR HARM OF ANYKIND RESULTING FROM ANY USER'S CONDUCT OR YOUR USE OF THE SERVICES OR FROMANYONE'S RELIANCE ON INFORMATION OR OTHER CONTENT POSTED ON THE SERVICES, ORTRANSMITTED TO OR BY ANY USERS.

21. LIMITATION OF LIABILITY; INDEMNITY

You hereby waive and agree not to assertany claims or allegations of any nature whatsoever against FarmersD, its affiliatesor subsidiaries, their sponsors, contractors, advertisers, vendors or otherpartners, any of their successors or assigns, or any of their respectiveofficers, directors, agents or employees (collectively, the ' Released Parties ') arising out of or in any wayrelating to your use of the Services or Proprietary Materials, including,without limitation, any claims or allegations relating to the allegedinfringement of proprietary rights, alleged inaccuracy of User Content, orallegations that any Released Party has or should indemnify, defend or holdharmless you or any third party from any claim or allegation arising from youruse of the Services. Your use of the Services and Proprietary Materials isentirely at your own risk.
Without limiting any of the foregoing, neitherFarmersD nor any other Released Party shall be liable to you for any direct,special, indirect, exemplary, consequential, punitive damages, or any otherdamages of any kind, including but not limited to loss of use, loss of profits,loss of data, loss of good will, data, or other intangible losses or othereconomic loss, whether in an action in contract, tort (including but notlimited to negligence) or otherwise, arising out of or in any way connectedwith your use of the Services or any Proprietary Materials, including withoutlimitation any damages caused by or resulting from: (i) your use or inabilityto use the Services or any Proprietary Materials; (ii) any third party claimsthat the use by you of any of the Services or Proprietary Materials violatesany third party intellectual property right or privacy right; (iii) any failureof performance of the Services or any Proprietary Materials, whether related tomistakes, errors, omissions, interruptions, defects, delays in operation ortransmission, deletion of files or email, computer viruses or any failure ofperformance (whether or not resulting from acts of god, communications failure,theft, destruction or unauthorized access to FarmersD or any other Released Party'srecords, programs or services); (iv) any damages arising from communications ortransactions with other Users of the Services, whether through blogs, or otherwise,or persons that you meet through the Services; or (v) any other mattersrelating to the Services, Proprietary Materials, any User Submissions (asdefined above), based in contract, tort, negligence, strict liability,fundamental breach, failure of essential purpose or otherwise, whether or notFarmersD had any knowledge, actual or constructive, that you might incur suchdamages.
IN NO EVENT WILL THE TOTAL LIABILITY OF FarmersD ORTHE RELEASED PARTIES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROMTHE USE OF OR INABILITY TO USE THE SERVICES OR PROPRIETARY MATERIALS EXCEED THEGREATER OF THE AMOUNT YOU HAVE PAID TO FarmersD FOR USE OF THE SERVICES ANDPROPRIETARY MATERIALS. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE AREFUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN FarmersD AND YOU.
You shall fully defend, indemnify and holdharmless FarmersD and the other Released Parties from any losses, damages,liabilities, costs, expenses (including legal fees), claims and proceedingsarising out of your use (or the use by any person to whom you have given accessto your FarmersD Account) of the Services, provision of User Content and theProprietary Materials, including any claims made by any person that any of yourUser Content infringes the rights, including the intellectual property rightsof any third party.

22. Applicable Law; Jurisdiction

The Services are controlled by FarmersD andoperated by it from its offices in Hongkong. All disputes, claims orother matters arising from or relating to your use of the Services, theProprietary Materials and these Terms will be governed by the laws of Hongkong, excluding theapplication of any conflicts of laws rules. The United Nations Convention onContracts for the International Sale of Goods will not apply to these Terms.

23. Dispute Resolution

Except where prohibited by applicablelaw, any claim, dispute or controversy (whether in contract or tort, pursuantto statute or regulation, or otherwise, and whether preexisting, present orfuture) arising out of or relating to these Terms, the Services, User Contentor posts, oral or written statements, advertisements or Promotions relating tothese Terms or to the Services, or the relationships that result from theseTerms, the FarmersD Software, the FarmersD Site, the Services, User Content or posts(collectively, a ' Claim ') will be referred to anddetermined by a sole arbitrator (to the exclusion of the courts) pursuant tothe Arbitration Act, 1991 (Ontario) as the same may be amended from time totime.
Accordingly, except where prohibited byapplicable law, you hereby waive any right that you may have to commence orparticipate in any class action against FarmersD related to any Claim and, whereapplicable, you also agree to opt out of any class proceedings against FarmersD. Ifyou have a Claim, you should give written notice to arbitrate at the addressspecified below. If we have a Claim, we will give you notice to arbitrate atyour address provided in your Registration Data.
If arbitration as described in the immediatelypreceding paragraph is prohibited by applicable law, you agree that all Claimswill be heard and resolved in a court of competent subject matter jurisdictionlocated in Hongkong.
You consent to the personal jurisdiction of suchcourts over you, stipulate to the fairness and convenience of proceeding insuch courts, and covenant not to assert any objection to proceeding in suchcourts.
If you choose to access the Services and/or theFarmersD Software and/or the FarmersD Site from locations other than Ontario, you willbe responsible for compliance with all local laws of such other jurisdictionand you agree to indemnify FarmersD and the other Released Parties for your failureto comply with any such laws.

24. Termination

Unless otherwise provided, these Terms take effect uponyour initial use of the Services and shall remain in effect until terminated asdescribed below.

a)Termination by FarmersD. Notwithstanding anything to the contrary in theseTerms, FarmersD may suspend, remove, deactivate, terminate or block your FarmersDAccount and your right to use the Services and may block or prevent your accessto and use of the Services at any time in our sole discretion, for any reason,without explanation and without notice to you (including without limitationblocking Users from certain IP addresses). We also reserve the right to removeor block access to your FarmersD Account information, User Content or data from theServices and any other records at any time at our sole discretion. In the eventthat we determine that your access to any of the Services is terminated,blocked, deactivated, removed or suspended at any time in our sole discretion,for any reason, without explanation and without notice or for cause, such asdue to any breach or violation of these Terms, flagged conduct or content,third party complaints, infringement of the intellectual property rights ofothers, you agree that all fees then paid to FarmersD by you will be nonrefundable.

b)Termination by You. In addition to any right to cancel your subscriptionpursuant to Section 17, you may deactivate your Farmers Account at any time byaccessing 'Settings' and selecting deactivate account or by emailingour customer support team at help@FarmersDatingApp.com with thesubject line Please Deactivate My FarmersD Account . After your FarmersD Accounthas been deactivated, and after you have logged out of the Services, yourprofile will not be visible to other Users. If you do not reactivate your FarmersDAccount within sixty (60) days, your FarmersD Account will be permanentlyterminated and closed but some of your information (including any User Content,photos, videos, images, text, messages or data you have posted to the Services)may remain in FarmersD's backup copies and logs for up to one (1) year.

c)Survival. Upon any termination, discontinuation or cancellation of the Servicesor your FarmersD Account, all provisions of these Terms which by their natureshould survive will survive, including, without limitation, Sections ownershipprovisions, warranty disclaimers, limitations of liability, and disputeresolution provisions. If these Terms expire or terminate for any reason,Sections 1, 5, 10-13 , 16, 20-26, and any representation or warranty you makein these Terms, shall also survive indefinitely.

25. Miscellaneous

The failure of FarmersD to exercise orenforce any right or provision in these Terms shall not operate as a waiver ofsuch right or provision.

26. Language Of These Terms

The language of these Terms is English. The Englishlanguage version of these Terms will govern your relationship with FarmersD.
